Thank you for using Wingman. These Terms of Service ("Terms") govern your access to and use of our AI-powered content generation and scheduling service, provided by Jobtepi Ventures ("we," "us," or "our").
By creating an account, accessing our platform, or using any Wingman services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.
Acknowledgment: You acknowledge that these Terms constitute a legally binding agreement between you and Jobtepi Ventures. You represent that you are legally capable of entering into binding contracts.
Description of Service
Wingman is an AI-powered software platform designed to help users create, manage, and schedule social media content, specifically for the Threads platform. Our services include:
- AI-powered thread generation and content ideation
- Content rewriting and style adaptation
- Automated post scheduling and publishing
- Analytics and performance insights
- Account management and social media integrations
Service Availability: We strive for 99.9% uptime but cannot guarantee uninterrupted access. The service is provided "AS IS" without warranties of any kind.
Account Registration and Security
Registration Requirements
To use Wingman, you must:
- •Be at least 16 years of age (or the age of majority in your jurisdiction)
- •Provide accurate, current, and complete information during registration
- •Maintain and update your account information to keep it accurate

Account Security
You are responsible for:

You retain ownership of all content you create using Wingman. However:

AI-Generated Content
Wingman uses artificial intelligence to generate content suggestions and assist with content creation. Please understand:
No Guarantee of Accuracy
AI-generated content may contain inaccuracies, errors, or be unsuitable for your specific needs. You are responsible for reviewing all AI-generated content before publishing.
Your Responsibility
You must review, edit, and approve all content before it is published. We are not liable for any consequences resulting from published content, including but not limited to reputation damage, legal claims, or account suspensions.
Platform Compliance
You are responsible for ensuring all content complies with the terms of service and community guidelines of Threads, Instagram, and any other platforms where you publish content.
Intellectual Property
Our Proprietary Rights
Wingman and all related content, features, and functionality are owned by Jobtepi Ventures and are protected by copyright, trademark, and other intellectual property laws. This includes:
- •The Wingman name, logo, and brand identity
- •Software code, algorithms, and AI models
- •Website design, text, graphics, and layouts
- •Documentation, tutorials, and marketing materials
License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Wingman for your personal or business use, in accordance with these Terms. This license does not include:
- ✗Any right to resell, sublicense, or distribute the service
- ✗Any right to modify or create derivative works
- ✗Any right to use our intellectual property in any way not expressly permitted
Your Content
You retain ownership of any content you create using Wingman. You grant us a limited, non-exclusive license to use, process, and store your content solely to provide the service to you. We do not claim ownership of your content.
Subscription and Payment Terms
Pricing
Wingman offers both free and paid subscription plans. Pricing for paid plans is displayed on our website and may be changed at any time with 30 days notice to existing subscribers.
Billing Cycle
Paid subscriptions are billed on a recurring basis (monthly or annually, as selected by you):
- •Monthly Plans: Billed on the same date each month
- •Annual Plans: Billed once per year on the signup anniversary
- •Payment is due immediately upon receipt of invoice
Payment Methods
We accept payment via credit/debit cards and other methods displayed on our website. All payments are processed securely by our payment processor, Stripe. Your payment information is never stored on our servers.
Cancellation
You may cancel your subscription at any time through your account settings or by contacting support:
- •Cancellation takes effect at the end of the current billing period
- •You will retain access to paid features until the end of the paid term
- •No refunds for partial months or unused portions of a subscription term
- •Upon cancellation, your account will revert to the free plan
Refunds
Except as required by law, all fees are non-refundable. You may request a refund within 14 days of your initial purchase if you have not used the service beyond reasonable trial limits. Refund requests should be sent to support@wingman.app.
Failed Payments
If payment fails, we may suspend your access to paid features. We will attempt to notify you and retry payment. If payment remains unsuccessful after 3 attempts, your subscription may be terminated.
Termination
Termination by You
You may terminate your account at any time by contacting support or using the account deletion feature in your settings. Upon termination, your right to use the service will immediately cease.
Termination by Us
We reserve the right to suspend or terminate your account and access to the service at our sole discretion, without prior notice or liability, for any reason, including but not limited to:

- ⚠Violation of applicable laws or regulations
- ⚠Engagement in fraudulent or illegal activities
- ⚠Abuse of the service or other users
- ⚠Your account being suspended or banned by connected social media platforms
- ⚠Discontinuation of the service
Effect of Termination
Upon termination, all licenses and rights granted to you will immediately terminate. We may delete your data, but we reserve the right to retain information as required by law or for legitimate business purposes.
Disclaimers and Warranties
AS-IS SERVICE: Wingman is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.
To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:
- ○Merchantability and fitness for a particular purpose
- ○Non-infringement of third-party rights
- ○Uninterrupted or error-free operation
- ○Security of data or information
- ○Accuracy or reliability of AI-generated content
- ○That bugs or errors will be corrected
We do not guarantee that the service will meet your requirements or that the service will always be available, timely, secure, or error-free.
Limitation of Liability
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOBTEPI VENTURES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- • Loss of profits, data, business opportunities, or goodwill
- • Loss or corruption of data or content
- • Account suspension or termination by third-party platforms
- • Damage to reputation or business relationships
- • Legal claims arising from content you publish
Our total liability to you for all claims under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above exclusions may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Jobtepi Ventures and our officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from or related to:

- ⚠Content you create, publish, or distribute using the service

Dispute Resolution

Before pursuing any formal dispute resolution, you agree to attempt to resolve any disputes with us informally by contacting support@wingman.app.
Governing Law
These Terms are governed by and construed in accordance with the laws applicable to Jobtepi Ventures. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of the applicable jurisdiction.
Arbitration (Optional)
For certain disputes, we may offer the option to resolve through binding arbitration rather than in court. Arbitration is less formal than a lawsuit and allows for a more efficient resolution.
Third-Party Services and Links
Wingman integrates with third-party services and platforms, including Threads and Instagram. These integrations are subject to the terms and policies of those platforms.
We are not responsible for the practices, policies, or content of any third-party services. Your use of third-party services is at your own risk and subject to their terms.
Platform Suspension: We are not liable if your account on Threads, Instagram, or any other platform is suspended, restricted, or terminated. You are responsible for complying with all platform terms of service.
Modifications to Service and Terms
We reserve the right to modify, suspend, or discontinue the service at any time, with or without notice. We may also modify these Terms at any time.
Material Changes
For material changes to these Terms, we will provide you with at least 30 days notice via email and/or in-app notification. Continued use after the effective date constitutes acceptance.
Service Changes
We may add, remove, or modify features, pricing, or functionality without liability to you. We are not required to provide refunds for discontinued features.
General Provisions
Entire Agreement
These Terms constitute the entire agreement between you and Jobtepi Ventures.
Severability
If any provision is found invalid, the remaining provisions remain in full force.
Waiver
Failure to enforce any provision does not constitute a waiver of that provision.
Assignment
You may not assign these Terms without our consent. We may assign without restriction.
